These Terms & Conditions (“Terms”) govern your use of the services provided by Scale CRM, LLC (“ScaleCRM”, “we”, “us”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. Services Provided
ScaleCRM provides Google review automation services that help businesses request and manage customer reviews on Google and other platforms.
We do not guarantee that using the Services will result in a specific number of reviews, higher ratings, or improved search rankings. Results vary based on factors outside our control.
3. Use of Services
By using our Services, you agree to:
Provide accurate business and billing information.
Use the Services only for lawful purposes and in compliance with applicable regulations (including anti-spam/SMS marketing laws).
Ensure that your customers have consented to receive review requests before uploading their information.
We reserve the right to suspend or terminate accounts that misuse the Services.
Consent to Contact End-Customers for Review Requests.
You authorise ScaleCRM and its service providers to send review-request communications (via SMS, email, or phone) to your current and former customers using contact information you provide to us or make accessible through your systems (including CRM, POS, booking platforms, and integrations such as Zapier). You represent and warrant that you have a lawful basis to share this data with us and to permit these communications. ScaleCRM will: (a) send review requests only for your business and not for any unrelated purpose; (b) include clear unsubscribe/opt-out instructions in each message; and (c) promptly honour any opt-out or suppression request. You agree to provide and maintain accurate suppression lists and to notify us of any customer who should not be contacted. All communications will be sent in accordance with applicable laws (including the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth), and any other laws that may apply based on your customers’ location). You acknowledge that ScaleCRM may use third-party providers (e.g., messaging carriers and integration platforms) to deliver these communications.
4. Fees & Payment
Fees for the Services are billed in advance on a subscription basis, unless otherwise agreed.
Payments are processed securely through our payment provider (Stripe).
All fees are non-refundable except where required by law or under any money-back guarantee explicitly offered in writing.
5. Intellectual Property
All intellectual property in the Services, including software, workflows, and branding, belongs to ScaleCRM. You may not copy, modify, or resell any part of the Services without prior written consent.
6. Data Ownership & Responsibilities
You retain ownership of all Customer Data and End-Customer Data that you upload or sync to the Services.
ScaleCRM acts only as a processor of that data as described in our Privacy Policy.
You are solely responsible for ensuring you have the legal right to provide your customers’ data to us.
7. Limitation of Liability
To the maximum extent permitted by law:
ScaleCRM is not liable for indirect, incidental, or consequential damages, including lost profits or data, arising from the use of our Services.
Our total liability for any claim related to the Services will not exceed the amount you paid us in the 3 months prior to the claim.
8. Indemnification
You agree to indemnify and hold harmless ScaleCRM, its affiliates, employees, and partners from any claims, damages, or expenses arising out of your use of the Services, including misuse of customer data or violations of law.
9. Termination
You may cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or misuse the Services. Termination does not relieve you of any payment obligations incurred prior to cancellation.
10. Governing Law
These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Queensland.
11. Changes to Terms
We may update these Terms from time to time. The latest version will always be posted on our website. Continued use of the Services after updates indicates your acceptance.
